As a complement to its busy commercial litigation practice, the Firm serves as general counsel to many contractors and other business clients. In this role, the Firm advises and assists businesses of diverse nature and size from entity formation and daily business activities to mergers, acquisitions and other transactions.
The Firm assists many start-up businesses in order to assure that the new business has a sound legal foundation. This assistance, tailored to the needs of particular businesses, includes counseling concerning choice of business entity and entity formation as well as the preparation of organizational documents including shareholder agreements, limited liability company operating agreements, employment agreements and covenants not to compete or disclose.
In representing both new and established businesses, the Firm advises and assists them with business relationships and transactions with owners, customers, vendors, employees and competitors. Fulfilling these responsibilities often requires the negotiation and drafting of contract documents. It also calls upon the Firm to represent clients in connection with the resolution of disputes short of litigation.
The Firm is experienced in a wide variety of business transactions, including secured and unsecured lending, sales, leases, joint ventures, acquisitions, employment and consulting arrangements, to name only a few.
